Chief Executive Officer

With the exception of the authorizations explicitly granted to the Board of Directors pursuant to a law, the Chief Executive Officer manages the operation of the company and has the broadest authorizations to undertake all matters related to the management, implementation of the resolutions by the Board of Directors and execution of the day-to-day activities of the Company, as well as to act on behalf of the company in all circumstances.

• The Chief Executive Officer represents the Company in relations with third parties within the limitations defined by the Board of Directors or the Statute of Makedonski Telekom.

• The non-executive members of the Board of Directors of the Company appoint and release the Chief Executive Officer of Makedonski Telekom who is an executive member of the Board of Directors.

• The rights and obligations of the Chief Executive Officer, in accordance with the Law on Trade Companies, are regulated with the Statute of Makedonski Telekom.
