Participation and voting via a proxy

Every shareholder may authorize another individual or a legal entity as the proxy thereof at the meeting of the Shareholders' Assembly, under a Power of Attorney in a written form.

Such shareholder shall be obliged to inform Makedonski Telekom AD - Skopje (the Company), in writing regarding the appointment of a proxy thereof that shall participate in the meeting of the Shareholders’ Assembly, by means of submitting a written notification to the Corporate Secretariat Area of the Company via the Central Archive Department. The shareholder may electronically submit the notification on the authorizations issued to the proxies to the Company, to the following e-mail address: mailto:IR@telekom.mk

Where the Power of Attorney does not comprise any voting limitations or instructions, the proxy may vote upon the discretion thereof, always observing the interests of the shareholder that has issued the Power of Attorney. The proxy must keep minutes of the received voting instructions, if any, and to keep them for a period of at least one year as of the day of the holding of the meeting of the Shareholders’ Assembly in which he/she participated and voted, as well as to confirm that he/she executed such instructions if requested to do so by the Company or by the shareholder that issued the Power of Attorney.

The shareholders may obtain a hardcopy of the template of the Power of Attorney for participation and voting via a proxy at the Headquarters of Makedonski Telekom AD - Skopje, at "Kej 13 Noemvri" No. 6, 1000 Skopje, every working day from 14:00 to 15:00 hrs or at the following link.

Furthermore, persons that give rise to a conflict of interests pursuant to the Law on Trade Companies may also be appointed as proxies in the Shareholders’ Assembly, provided that the proxies:

  • Previously notified the shareholders that they give rise to a conflict of interests and
  • They were provided with specific instructions in a written form by the shareholders that authorized them as the proxies thereof in terms of every proposed item for voting based upon the items on the Agenda for the meeting of the Shareholders' Assembly.

The Company shall publish the identity of the appointed proxies that give rise to a conflict of interests on the website thereof.
